The following content standards apply to any and all content, material, and information you submit, post, publish, display, or transmit (collectively, “submit”) to the Website, to other users or other persons (collectively, “User Submissions”) and any and all interactive functions. Any and all User Submissions must comply with all applicable federal, provincial, local, and international laws, regulations, and terms of service.
Without limiting the foregoing, you warrant and agree that your use of the Website and any User Submissions shall not:
(a) In any manner violate any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding the export of data or software, patent, trademark, trade secret, copyright, or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with this Agreement and our Privacy Policy.

(c) Include or contain any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in Jade’s sole discretion.
(d) Involve stalking, attempting to exploit or harm any individual (including minors) in any way by exposing them to inappropriate content or otherwise or ask for personal information as prohibited under applicable laws, regulations, or code.
(e) Involve, provide, or contribute any false, inaccurate, or misleading information.
(f) Impersonate or attempt to impersonate Jade, a Jade employee, another user, or any other person or entity (including, without limitation, by using email addresses, or screen names associated with any of the foregoing).
(g)Transmit, or procure the sending of, any advertisements or promotions, sales, or encourage any other commercial activities, including, without limitation, any “spam”, “junk mail”, “chain letter”, contests, sweepstakes and other sales promotions, barter, or advertising or any other similar solicitation.
(h) Encourage any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm Jade or users of the Website or expose them to liability.
(i) Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, or alarm any other person.
(j) Promote any illegal activity, or advocate, promote, or assist any unlawful act.
In addition to purchasing Products on the Website, the Subscription Service is offered by way of a subscription (the “Subscription”). When you register for a Subscription or purchase Products, you agree that: Jade (or a third party payment processor authorized by us) is authorized to charge your credit card for your Subscription or Product and that we are authorized to charge you the Subscription fee or Product fee (as set out in your Jade Account, as applicable) until such time that your Subscription is cancelled (as applicable). We will charge your card immediately for purchases of Products. For Subscriptions, we will not charge your credit card until after the cancellation deadline (as set out in your Jade Account, as applicable) – with the exception of your first delivery, which will occur immediately following your initial Subscription to the Subscription Service.
All prices are shown in Canadian dollars and will be charged GST/HST on every shipment where applicable.
We accept no liability to complete any transaction which cannot be cleared by our payment processor, whether because there are no sufficient funds available on your credit card or otherwise. If such a situation occurs, you will receive an error message and the transaction will be denied.
Please consult your Jade Account for more information on the pricing and features of our different Subscription plans. You acknowledge being bound by the terms and conditions of the Subscription plan you have selected.
The Products and Subscription Service are only available for certain areas with Canada and the U.S.. You can find out if we ship to your area by signing up and you will be notified once we start shipping to your specified address.
Jade reserves the right to use third party services for shipping. Title to and the risk of loss of all Subscription Service and Products passes to you upon pick-up of the Products by our designated third party shipping service. Following the delivery to you (as described below), the condition and consumption of all Products are at your own risk, and you are solely responsible for the proper handling, storage, use and consumption of the Products. Jade is not responsible or liable for any action(s) or inaction(s) of designated third parties and/or its agents, and shall not be liable for any delay or loss of any kind, which occurs while a shipment is in custody or control of a designated third party.
Shipping times and dates are estimates and actuals may vary due to weather conditions and other factors, some of which may be outside of our control. If there are events beyond our control that interfere with our ability to deliver the Products and Services to you on your scheduled delivery day, we will attempt to deliver your Products as soon as commercially reasonable. In the event that we remain unable to deliver your Products, we will issue you a credit for the purchase price of that delivery. You remain responsible for the purchase price of the Products if we are unable to make your delivery at your confirmed address at the specified time due to reasons caused by you.
We consider the Products delivered when the third party courier service arrives, and surrenders custody of the Products in accordance with the delivery instructions you have specified in your Jade Account. We will presume that any individual present at the location specified in the delivery instructions is authorized to receive the delivery on your behalf. If there is no individual present at the location specified in the delivery instructions we will leave the package unattended at the address or location you have specified. You are responsible for insuring the clarity and completeness of all delivery instructions provided to us.
You are responsible for inspecting all Products you receive from us for any damage or other issues upon their delivery to you. You are solely responsible for determining the state of the Products you receive. You are responsible for a Product degradation as a result of any events (including the passage of time) after the delivery of the Products. Refunds for Products remain within the sole discretion of Jade.
We may from time to time designate certain locations as “pick-up points” where you can collect the Products. Should you choose to receive your Products at a pick-up point, we will consider the Products delivered when they are made available to you for pick-up at the specified pick-up point. You are responsible for collecting your Products within the timeframe specified in your shipping confirmation.
You may cancel your Jade Subscription at any time by contacting us by email at hello@jadeforhealth.com provided that you remain liable to pay for any Products that we have already prepared prior to such cancellation. Jade also reserves the right to suspend or end the Services if you are in breach of this Agreement, or for any other reason.

The Jade name, the Jade logo and all related names, logos, product and service names, designs, images, and slogans are trademarks of Jade or its affiliates or licensors. You must not use such marks without the prior written permission of the Jade. Each such amendment (i) will be communicated to you at least thirty (30) days before its coming into force; (ii) set out the new section only, or an amended section along with the section as it read formerly; (iii) set out the date the amendment comes into force; and (iv) if the amendment entails an increase in your obligations or a reduction in Jade’s obligations, give you the right to refuse any amendment and terminate this Agreement without cost, penalty or cancellation indemnity by sending Jade a notice to that effect no later than thirty (30) days after the amendment comes into force.
This Agreement shall be governed by and construed by the laws of the Province of Ontario and the laws of Canada applicable therein. Parties hereby irrevocably submit and attorn to the jurisdiction of the Courts of the district of Toronto, Ontario.
This Agreement is the entire and exclusive agreement between Jade and you regarding the Services, and this Agreement supersedes and replaces any prior agreements between Jade and you regarding the Services. The terms may be supplemented by the terms of any special offer we may make to you.
You shall not assign or otherwise transfer this Agreement or any of its rights or obligations hereunder to any third party without our prior written consent, which consent is within our sole discretion. No assignment or delegation by you shall relieve or release you from any of your obligations under this Agreement. Subject to the foregoing, this Agreement shall be binding upon, inure to the benefit of, and be enforceable by each of the parties and their respective successors and assigns. Jade shall be allowed to assign this Agreement to any third party without requiring your consent.

The Website is not intended for use in any jurisdiction where its use is not permitted. If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
